The entity you choose when starting a business in India affects liability, taxation, compliance burden and your ability to raise funding. Three structures dominate the choice: Private Limited Company, Limited Liability Partnership and One Person Company.
Private Limited Company
A Private Limited Company is the most common structure for startups planning to raise venture capital. It offers limited liability, can issue shares to investors, and has a clear exit path. The trade-off is higher compliance: annual ROC filings, board meetings, audited financials and statutory registers.
Minimum two directors and two shareholders are required, though one person can hold both roles. It is the default choice when funding is on the horizon.
Limited Liability Partnership (LLP)
An LLP combines limited liability with the flexibility of a partnership. It has fewer compliance requirements than a company — no board meetings, simpler annual filings — and profits are taxed in the hands of the LLP, not the partners.
It is ideal for professional service firms and businesses that do not plan to raise equity funding. The downside is that LLPs cannot issue shares, making them less attractive to investors.
One Person Company (OPC)
An OPC allows a solo founder to operate as a company with limited liability, without needing a second shareholder. It is simpler to run than a full Private Limited but must convert to a Private Limited once turnover crosses Rs. 2 crore or paid-up capital exceeds Rs. 50 lakh.
OPCs suit solo founders who want limited liability without bringing on a co-founder immediately.
How to decide
Ask three questions: Will you raise funding? How many founders are there? How much compliance can you handle? If funding is likely, choose Private Limited. If you are a professional firm, choose LLP. If you are solo and want liability protection, choose OPC.
There is no universally correct structure — only the one that fits your ownership, funding and compliance appetite. Changing structures later is possible but costly, so decide deliberately at the start.
